Frédéric Huguenin advises clients including financial institutions and companies in the field of financing and mergers and acquisitions.

As such, he regularly assists in structured or specialised financing transactions on behalf of banks, particularly with a view to preparing financing documents (loan agreement, mezzanine, subordination agreement, pool operating loans, etc.) and collateral documents (pledging of financial securities account, pledges of company shares, pledges of business assets, etc.).

He also regularly participates in corporate merger transactions, changes to or restructuring of their shareholders, particularly regarding the negotiation and drafting of agreements for the transfer of corporate rights, shareholders’ agreements, asset and liability guarantees and their implications under company law (increase or reduction of share capital, issue of composite securities, merger, partial contribution of assets, full transfer of assets, etc.).

The cross-disciplinary nature of his experience, acquired at ERNST & YOUNG, LAMY-LEXEL, MOQUET BORDE (now PAUL HASTINGS) and CROIZAT HUGUENIN, enables him to understand the challenges facing SMEs as well as those facing large companies and institutional clients.
